Terms of Service

1. Acceptance

By creating an account or using the marketplace, you agree to these terms and to our Privacy Policy. If you don't agree, please don't use the service.

2. Who can use the marketplace

You must be at least 18 years old and able to form a binding contract. Vendors must operate lawfully and hold any licenses their products require.

3. Your account

You're responsible for keeping your login secure and for activity under your account. Tell us promptly if you suspect unauthorized use.

4. Buying on the marketplace

• Orders are an agreement between you and the seller. We facilitate the transaction, payment, and tax calculation.
• Prices, availability, and fulfillment options are set by each seller.
• Buyer protection covers orders that don't arrive or aren't as described — contact us to open a claim.

5. Selling on the marketplace

• Vendors must be approved before listing. We may decline or remove any shop or listing that doesn't fit a curated, local marketplace.
• You agree to a flat 8% commission on the sale price of each item sold. Payouts are made to your connected Stripe account, minus that commission and standard processing fees.
• You're responsible for accurate listings, fulfilling orders you accept, honoring your stated pickup/delivery terms, and the quality and legality of what you sell.
• You're responsible for your own business licensing, permits, and income-tax obligations.
• Full payout, refund, chargeback, and recoupment terms for sellers are in the Seller Agreement.

6. Prohibited items & conduct

No illegal goods, recalled or unsafe products, counterfeits, regulated items you aren't licensed to sell, or anything that violates the law. No fraud, harassment, or misuse of other members' information.

7. Payments & taxes

Payments are processed by Stripe. Florida state and county sales tax is calculated at checkout based on the delivery county (or the seller's county for pickup) and remitted as required. You are responsible for any other taxes that apply to you.

8. Your content & the rights you give us

"User content" means anything you submit, upload, or post — including listings, product titles and descriptions, photographs and images, reviews, ratings, questions, comments, messages, and reports you file about other listings.

• Reviews must reflect genuine experiences and come from verified purchases where indicated.
• You grant Makers Nearby a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your user content for the purpose of operating and promoting the marketplace.
• You represent and warrant that you own or have all rights necessary to post your user content; that it is accurate and not misleading; and that it does not infringe any copyright, trademark, publicity, or privacy right, is not defamatory, obscene, harassing, or unlawful, and does not otherwise violate any law or these terms.
• Don't post anything you don't have the right to share, and don't photograph or describe other people, their property, or their work without permission.

9. Reporting & content moderation

Members can flag any listing, photo, or comment they believe is inappropriate, unsafe, infringing, or unlawful. We may review, hide, restrict, or remove any content at our discretion. A listing reported by more than two distinct members is automatically hidden from the marketplace pending administrative review. We may reinstate it if the reports are not substantiated, or remove it permanently if they are. We may also report unlawful content and cooperate with law-enforcement or rights-holder requests as the law requires. We are not obligated to monitor content, and we are not responsible for user content created by others.

10. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Makers Nearby, its owners, officers, employees, contractors, and agents from and against any claims, demands, suits, losses, liabilities, damages, fines, penalties, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to:

• Any content you submit — including photographs, images, listings, descriptions, reviews, comments, messages, or reports — that infringes a third party's intellectual-property, privacy, or publicity rights, is defamatory or obscene, or otherwise violates any law or regulation;
• The products you list, sell, buy, or receive, and any injury, damage, or loss they cause;
• Your violation of these terms, the Seller Agreement, or any applicable law; and
• Your misuse of the marketplace or of another member's information or content.

This obligation survives the closing of your account. We may assume the exclusive defense of any matter subject to indemnification, at your expense, and you agree to cooperate with that defense. Nothing here requires you to indemnify us for losses caused solely by our own gross negligence or willful misconduct.

11. Disclaimers

The marketplace is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We don't manufacture the goods sold here, we don't author the content members post, and we don't guarantee any seller's products beyond our buyer-protection commitment.

12. Limitation of liability

To the extent permitted by law, Makers Nearby is not liable for indirect, incidental, special, or consequential damages, or for content posted by other members. Our total liability for any claim is limited to the amount of the transaction giving rise to it.

13. Termination

You may close your account anytime. We may suspend or remove accounts, listings, or content that violate these terms or harm the marketplace or its members.

14. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

15. Changes

We may update these terms as the marketplace evolves. Continued use after an update means you accept the revised terms.
